These Terms of Use (“Terms”) govern your access to and use of the website at zerayatech.com and the software product Confera (together, the “Service”), provided by Zeraya Technologies Pvt. Ltd. (“Zeraya,” “we,” “us,” or “our”). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Service.

1. Definitions
- “Customer” means the organization that subscribes to or is authorized to use Confera.
- “User” means an individual who accesses the Service under a Customer’s account.
- “Customer Content” means data submitted to or captured by the Service on the Customer’s behalf, including meeting recordings, transcripts, summaries, and action items.
2. Eligibility and authority
The Service is intended for business use by organizations. You must be at least 18 years old to use it. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.
3. Accounts and registration
You agree to provide accurate information, to keep it up to date, and to keep your authentication credentials (including one-time passcodes and single sign-on access) confidential. You are responsible for all activity under your account and for your Users’ compliance with these Terms.
4. Subscriptions, trials, and billing
Confera is offered under subscription plans (for example, Starter, Pro, and Enterprise) as described at the time of purchase. Free trials, if offered, may convert to paid plans unless cancelled before the trial ends. Fees are exclusive of taxes unless stated. Unless otherwise agreed, subscriptions renew for successive terms, and non-payment may result in suspension or termination. We may change pricing on prospective notice for future terms.
5. License and restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. You must not:
- copy, modify, reverse engineer, decompile, or create derivative works of the Service;
- resell, sublicense, rent, or provide the Service to third parties except as expressly permitted;
- use the Service unlawfully, or to infringe rights or violate the privacy of others;
- upload malware, attempt to gain unauthorized access, or interfere with the Service’s operation or security; or
- scrape, or use automated means to access the Service, except through documented APIs.
6. Customer Content and responsibilities
As between the parties, the Customer retains all rights in Customer Content. You grant Zeraya a limited license to host, process, and transmit Customer Content solely to provide and support the Service and as described in our Privacy Policy. You are responsible for the Customer Content and for ensuring that its capture and use — including the recording and transcription of meetings — complies with all applicable laws and that any legally required participant notice or consent has been obtained (see Section 6 of the Privacy Policy). Processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement.
7. Acceptable use
You agree not to use the Service to record or process meetings unlawfully, to harass or harm others, to store or transmit unlawful, infringing, or harmful content, or in any manner that violates these Terms or applicable law. We may investigate and take action, including suspension, for violations.
8. AI-generated output
Confera uses artificial intelligence to generate transcripts, summaries, insights, and action items. AI output may be incomplete or inaccurate and is provided for convenience only. It does not constitute professional, legal, financial, or other advice. You are responsible for reviewing and verifying output before relying on it, and for any decisions made based on it.
9. Third-party services and integrations
The Service may interoperate with third-party services (for example, Microsoft 365 and Outlook). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability may change.
10. Intellectual property
The Service, including all software, features, content we provide, and the “Confera” and “Zeraya” names and logos, is owned by Zeraya or its licensors and is protected by intellectual-property laws. No rights are granted except as expressly stated. If you provide feedback, you grant us a perpetual, royalty-free license to use it to improve the Service.
11. Confidentiality
Each party may access the other’s confidential information and agrees to protect it using reasonable care and to use it only as needed to perform under these Terms.
12. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation, to the maximum extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
You will indemnify and hold Zeraya harmless from claims, damages, and costs arising from your Customer Content, your use of the Service in breach of these Terms or applicable law, or your failure to obtain required recording consents.
15. Term, suspension, and termination
These Terms apply while you use the Service. We may suspend or terminate access for breach, non-payment, or to protect the Service or others. You may terminate by cancelling your subscription. On termination, your right to use the Service ends; we will make Customer Content available for export for a limited period and then delete it in accordance with our Privacy Policy, subject to legal requirements.
16. Changes to the Service and Terms
We may modify the Service and these Terms from time to time. Material changes to these Terms will be posted with a new “Last updated” date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
17. Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.
18. Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control.
19. General
These Terms, together with the Privacy Policy and any order or agreement referencing them, are the entire agreement between the parties regarding the Service. If any provision is unenforceable, the remainder stays in effect. We may assign these Terms in connection with a merger or sale of assets. Failure to enforce a provision is not a waiver.
